1. Introduction
1.1 These Terms of Use ("Terms") govern your access to and use of the WapUP platform, a Progressive Web Application (PWA) available at our domain (the "Platform", "Service", "we", "our", or "us").
1.2 By accessing or using the Platform, you ("User", "you") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
1.3 The Platform provides a technological service that enables the generation of structured PDF documents from users' WhatsApp chat data for lawful documentation, archiving, and backup purposes.
1.4 The Platform does not provide legal advice, legal representation, or any service constituting legal practice. It is a technical tool only, designed to support document extraction, formatting, and organization from WhatsApp communications.
1.5 WapUP is an independent service and is not affiliated with WhatsApp or Meta! These are trademarks that belong solely to their respective owners.
2. Definitions
For the purposes of these Terms:
- "Account" means a registered profile or session created by a User on the Platform.
- "User" means an individual who has been granted a valid Secret Code to generate a document using the Platform.
- "Secret Code" means an access token or credit code that enables document creation on the Platform.
- "Document" means any file generated by the Platform from WhatsApp data, including PDF, HTML, or ZIP formats.
- "WhatsApp Data" means chat history, messages, media files, and related content exported from WhatsApp.
- "Third Parties" refers to integrated service providers, including Meta Platforms Inc. (WhatsApp).
- "Services" means all functionalities available on WapUP, including WhatsApp data extraction, PDF generation, editing, and document delivery.
- "Data" means any content, information, or communication retrieved or uploaded through the Platform.
- "PWA" means Progressive Web Application, a web application that can be installed and used like a native mobile app.
3. Eligibility and Access
3.1 The Platform is available only to Users who have received a valid Secret Code to access the Service.
3.2 Users may access the Platform via web browser or by installing the PWA on their device (mobile or desktop).
3.3 The Platform processes WhatsApp chat data only through exported ZIP files from the official WhatsApp mobile application. WhatsApp Web exports are not supported.
3.4 The Platform's accessibility features provide basic support for users with disabilities; however, enhanced accessibility options may be limited.
3.5 Access to the Platform may be suspended or terminated at any time for breach of these Terms, abnormal activity, or non-compliance with applicable law.
3.6 Users must be at least 13 years of age to use the Platform. Users under 18 must have parental or guardian consent.
4. Account Registration and Verification
4.1 Users access the Platform using a Secret Code provided by authorized distributors or partners.
4.2 Upon entering a valid Secret Code, Users may proceed to upload and process their WhatsApp data.
4.3 Users are responsible for maintaining the confidentiality of their Secret Code and any passwords associated with generated Documents.
4.4 Users must provide accurate information when using the Platform and notify us immediately of any unauthorized use of their Secret Code.
5. Use of Services
5.1 WhatsApp-to-PDF Generation
(a) WhatsApp chats are processed only through exported ZIP files from the official WhatsApp mobile application.
(b) The process cannot be performed via WhatsApp Webβonly via the mobile WhatsApp application's export feature.
(c) Users must export their chat histories (with or without media) as ZIP files from WhatsApp and upload them to the Platform.
(d) The Platform then converts the exported data into:
- A formatted PDF file containing chat messages and metadata,
- An HTML version with media links (if applicable), and
- A ZIP archive containing all attachments and media files (if included in export).
(e) Users can process both individual chats and group chats through the Platform.
(f) Voice message transcription may be offered as a convenience feature. The Company accepts no responsibility for accuracy or completeness of such transcriptions, which may fail due to third-party limitations, audio quality, or hardware constraints.
(g) Processing time varies based on the size and complexity of the uploaded data. Users will be notified when processing is complete.
5.2 Document Generation and Download
(a) Once generated, Documents are available for download through the Platform.
(b) All Documents are automatically protected with a unique password for security purposes.
(c) Users are responsible for securely storing their Document passwords.
(d) Documents are stored temporarily and will be deleted according to the retention policy outlined in Section 6.
6. Data Storage, Retention and Deletion
6.1 All uploaded WhatsApp data and generated Documents are stored temporarily on secure servers.
6.2 Data is retained only for the duration necessary to complete processing and allow Users to download their Documents.
6.3 Once a User downloads their Document, the associated data may be scheduled for deletion in accordance with our data retention policies.
6.4 The Company does not access or review message content for any purpose other than automated processing required to generate the Document.
6.5 No personal data or document content is shared with any external entity except as required for integrations described herein or as required by law.
6.6 Users acknowledge that deleted data cannot be recovered. It is the User's responsibility to download and securely store their Documents before deletion occurs.
6.7 The Company reserves the right to delete data that has been stored beyond the retention period, even if not yet downloaded by the User.
7. Third-Party Integrations and Licences
7.1 The Platform integrates with the following third parties solely for functionality purposes:
- Meta Platforms Inc. (WhatsApp) β for processing exported WhatsApp chat data. WapUP is not affiliated with, endorsed by, or sponsored by WhatsApp or Meta.
7.2 All integrations are performed via secure file processing. The Company does not have direct API access to WhatsApp accounts and processes only user-exported data files.
7.3 The Platform may use third-party services for:
- Voice message transcription (if applicable),
- PDF generation and formatting,
- File compression and storage,
- Security and encryption services.
7.4 Users acknowledge that third-party service availability and functionality are beyond our control, and we are not responsible for interruptions or failures in third-party services.
8. Security and Password Protection
8.1 Every generated Document is automatically protected by a unique password.
8.2 The password is displayed upon Document generation and should be copied and stored securely by the User.
8.3 In the event a password is lost, Users may contact WapUP-support@gmail.com for assistance with identity verification and password recovery procedures.
8.4 Users are solely responsible for maintaining the confidentiality of their Document passwords. The Company cannot recover Documents if passwords are lost and not properly stored.
8.5 The Platform employs industry-standard security measures to protect data during transmission and storage. However, no method of electronic storage is 100% secure.
9. Lawful Use and Restrictions
9.1 The Platform must be used solely for lawful purposes and in compliance with these Terms and all applicable data protection and privacy laws.
9.2 Users shall not:
- (a) attempt to access or process data from WhatsApp accounts not lawfully belonging to them;
- (b) use automated tools, bots, or scripts to interfere with Platform operation or to generate excessive requests;
- (c) attempt to decompile, copy, reverse-engineer, or extract source code from the Platform;
- (d) misuse Secret Codes or share access credentials with unauthorized parties;
- (e) upload malicious files, viruses, or any content that could harm the Platform or other users;
- (f) use the Platform to process data containing illegal content, harassment, threats, or violations of others' rights;
- (g) resell, redistribute, or commercially exploit the Platform or Documents without authorization;
- (h) impersonate any person or entity or falsely claim affiliation with any person or entity.
9.3 The Company reserves the right to suspend or permanently terminate any access in the event of suspected misuse, breach of these Terms, or violation of applicable laws.
9.4 Users are responsible for ensuring they have the legal right to process and export the WhatsApp data they upload to the Platform.
10. Accessibility and Cookies
10.1 The Platform provides a basic accessibility interface intended to improve usability for general users, including features such as font size adjustment and dark mode.
10.2 Cookies are used for essential operational and security purposes, including session management, user preferences, and service functionality.
10.3 By using the Platform, Users consent to the use of cookies as described in our separate Cookie Policy.
10.4 Users can manage cookie preferences through their browser settings, though disabling certain cookies may affect Platform functionality.
11. Intellectual Property
11.1 All content, design, source code, logos, trademarks, and Platform technology are the exclusive property of WapUP and its licensors.
11.2 Users are granted a limited, non-transferable, revocable license to use the Platform for its intended lawful purpose only.
11.3 No part of the Platform may be copied, distributed, modified, or repurposed without the Company's prior written consent.
11.4 Users retain ownership of their uploaded data and generated Documents. However, Users grant the Company a license to process, store, and generate Documents from their data as necessary to provide the Service.
11.5 The "WapUP" name and logo are trademarks. Unauthorized use is prohibited.
12. Disclaimers and Limitation of Liability
12.1 The Platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
12.2 WapUP makes no representation regarding accuracy, completeness, or reliability of any Document generated through the Platform. Documents are generated based on the data provided by Users, and the Company does not verify the authenticity or accuracy of such data.
12.3 The Company shall not be liable for:
- (a) corruption or loss of data,
- (b) third-party service interruptions or failures,
- (c) transmission errors or network issues,
- (d) inaccuracy of transcriptions, conversions, or formatting,
- (e) indirect, incidental, consequential, or punitive damages of any kind,
- (f) loss of profits, revenue, data, or business opportunities,
- (g) damages resulting from unauthorized access to User data or Documents.
12.4 Nothing in these Terms shall limit liability for fraud, gross negligence, death, or personal injury, or any liability which cannot be excluded under applicable law.
12.5 The Company does not guarantee that the Platform will be available at all times, uninterrupted, or error-free. Maintenance, updates, or technical issues may cause temporary unavailability.
13. Suspension and Termination
13.1 The Company may suspend or terminate access immediately if:
- (a) the User breaches these Terms,
- (b) there is reasonable suspicion of unlawful activity or violation of third-party rights,
- (c) maintenance or security concerns require temporary suspension,
- (d) the User engages in abusive, fraudulent, or harmful behavior,
- (e) required by law or court order.
13.2 Upon termination, all rights granted to the User shall cease immediately, and any stored data will be deleted in accordance with Section 6.
13.3 Users may discontinue use of the Platform at any time by ceasing to access the Service.
13.4 The Company reserves the right to delete Accounts and associated data that have been inactive for an extended period.
14. Amendments to Terms
14.1 The Company reserves the right to modify or update these Terms at any time to reflect changes in our services, legal requirements, or business practices.
14.2 The latest version will always be available at https://wapup.co/terms-of-use or through the Platform.
14.3 Material changes to these Terms will be communicated to Users through the Platform or via email where possible.
14.4 Users are responsible for reviewing the Terms periodically. Continued use of the Platform after changes constitutes acceptance of the modified Terms.
14.5 If you do not agree to the modified Terms, you must discontinue use of the Platform immediately.
15. Governing Law and Jurisdiction
15.1 These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company operates.
15.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in the Company's jurisdiction, unless otherwise required by mandatory law.
15.3 If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
